Who we are & what these terms cover
This website is operated by S.P.S Security & Protection Systems ("SPS", "we", "us", "our"), based in Beirut, Lebanon. These Terms & Conditions ("Terms") govern your use of this website and the sale of any products and services we supply.
By browsing this website, requesting a quotation, placing an order, or buying any product or service from us, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, please do not use the website or place an order.
These Terms apply to consumers and to businesses. Where you buy as a business, you confirm you have authority to bind that business.
Definitions
- "Products" — equipment, hardware, devices, and materials we supply, manufactured by third parties.
- "Services" — site survey, design, supply, installation, commissioning, and maintenance work we carry out.
- "Manufacturer" — the original maker or brand owner of a Product (for example TEXE, Context, and other brands we resell).
- "Order" — your request to buy Products and/or Services from us.
- "Website" — spslb.com and any of its pages and content.
The products we sell
SPS is a supplier and installer. We are not the manufacturer of the Products we sell. The Products are designed, made, and warranted by third-party manufacturers, including but not limited to TEXE, Context, and other brands.
Product names, descriptions, specifications, datasheets, images, and technical details shown on the Website or in our quotations are supplied by the manufacturers and reproduced by us in good faith. We do not guarantee that this information is complete, current, accurate, or free of errors, and it may be changed by the manufacturer without notice.
Product appearance, colour, dimensions, and packaging may differ from images shown. Nothing on the Website is an offer that binds us, a representation, or a warranty of any particular characteristic, quality, performance, or fitness for a particular purpose. We may correct errors, change or discontinue any Product, and update specifications at any time without liability.
Quotations & pricing
Unless we state otherwise in writing, a quotation is valid for fifteen (15) days from its date and is an estimate, not a binding offer. Quoted prices exclude delivery, installation, customs, duties, and applicable taxes unless we state they are included.
Prices may be quoted in US Dollars and/or Lebanese Pounds and are subject to change as a result of exchange-rate movement, supplier price changes, shipping, and import costs. The price that applies to your Order is the price we confirm in writing at the time the Order is accepted.
If a Product or Service is listed or quoted at an incorrect price because of a typographical, clerical, system, or pricing error, we may decline or cancel the Order — even after it has been confirmed — and we will refund any amount you have already paid for the affected item. We are not obliged to supply at the incorrect price.
Orders & acceptance
Your Order is an offer to buy. A binding contract is formed only when we issue a written Order confirmation or begin the work, whichever happens first. We may, at our discretion and without giving reasons, refuse or cancel any Order — including where a Product is out of stock, a pricing error has occurred, payment is not received, fraud is suspected, or the location is outside our service area.
For special-order, imported, or made-to-order Products, we may require a non-refundable deposit before we place the order with our supplier.
Payment & ownership
Payment terms, deposits, and the schedule of payments are as set out in your quotation or Order confirmation. Unless agreed otherwise, the balance is payable before delivery or before handover of an installed system.
Title (ownership) of the Products remains with SPS until we have received payment in full. Risk in the Products passes to you on delivery to you or to your site. Overdue amounts may incur a reasonable late-payment charge and may entitle us to suspend delivery, installation, support, or maintenance until paid.
Delivery, lead times & installation
Any delivery, lead, or installation times we give are estimates only and are not guaranteed. We are not liable for delays caused by manufacturers, suppliers, shipping, customs, banking or import restrictions, currency controls, or any event beyond our reasonable control (see Force majeure).
You must provide safe and timely access to the site, a suitable power supply, network/internet connectivity where required, and any structural or civil conditions needed for installation. Work that falls outside the agreed scope — including additional cabling, builder's work, or changes you request — is chargeable in addition to the quoted price.
Your responsibilities
You are responsible for:
- Giving us accurate and complete information for the survey, design, and Order.
- Obtaining any permits, landlord consents, authority approvals, or third-party permissions needed.
- Keeping systems powered, connected, and maintained, and following all manufacturer instructions and manuals.
- Regularly testing alarms, detectors, cameras, and other safety-critical equipment.
- Safeguarding passwords, access codes, keys, and app credentials, and changing them when staff or occupants change.
- Arranging suitable insurance for your property, contents, persons, and business.
Warranties — and how we help
We want warranty to be the easy part. The products we sell are covered by the manufacturer's warranty rather than a separate SPS one — but you won't have to chase a factory abroad. We're your single point of contact: if a product develops a fault, bring it to us and we'll manage the warranty process with the manufacturer on your behalf, handling the assessment, shipping, and follow-up so you don't have to.
Product warranty — provided by the manufacturer
Products carry the original manufacturer's warranty, which we pass through to you. SPS is the supplier and installer, not the manufacturer, so we do not provide a separate or additional product warranty of our own. All product warranty claims are subject to the relevant manufacturer's terms, duration, conditions, and procedures, and it is the manufacturer who ultimately approves and honours them. What we promise is to do our genuine best to get a valid claim resolved for you.
When something falls outside the warranty
Sometimes a product is damaged by accident or misuse, or falls outside the manufacturer's warranty terms. We won't leave you stranded: where we can, we'll still approach the manufacturer to try to arrange a repair or replacement for you. Please understand that any such help is offered as a goodwill gesture, entirely at our discretion, may involve a repair or shipping charge, and does not create a warranty, a legal obligation, or a precedent for future cases. It's us going the extra mile — not a guarantee that every case can be solved.
Our installation workmanship warranty
We do directly stand behind our own work. SPS warrants its installation workmanship for twelve (12) months from the date of handover against defects in labour, and we'll re-perform or correct any defective workmanship at our option. This naturally doesn't cover the product itself or things outside our control — misuse, abuse, tampering, modification or repair by anyone other than SPS, accident, power surges or outages, lightning, water, pests, environmental conditions, neglect, or lack of maintenance.
Exclusion of implied terms
Except as expressly stated in these Terms, and to the fullest extent permitted by law, all other warranties, conditions, and terms — whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, satisfactory quality, or fitness for a particular purpose — are excluded.
What our systems can — and can't — promise
Every system we design is built to give you real, dependable protection, and most risks our clients face are prevented or caught early because of it. We'd still rather be honest with you than over-promise:
Being straight with youSecurity, alarm, intrusion, CCTV, access-control, fire-detection, and fire-suppression systems are designed to reduce risk and help you respond faster. As capable as they are, no system can guarantee the complete prevention of — or protection against — burglary, theft, robbery, intrusion, vandalism, fire, smoke, gas, flood, injury, loss of life, or damage to or loss of property.
The performance of any system also depends on factors outside our control, such as power and internet outages, telecommunication and network failures, false alarms, tampering or sabotage, environmental conditions, third-party response times, subscription or cloud-service availability, user error, and whether the system is kept tested and maintained.
Think of us as your protection partner, not your insurer. The price you pay is for equipment and services — it isn't insurance against loss, and isn't meant to be. So you're never under-protected, please keep adequate property, contents, liability, and life insurance in place alongside the systems we provide.
Limitation of liability
To the fullest extent permitted by Lebanese law:
- SPS is not liable for any indirect, incidental, special, consequential, or punitive loss or damage; nor for any loss of profit, revenue, business, anticipated savings, data, or goodwill.
- SPS is not liable for any loss, injury, death, or damage to persons or property arising from the failure, malfunction, non-performance, defect, or inadequacy of any Product or system, however caused — including our negligence — except to the extent such liability cannot lawfully be excluded.
- SPS's total aggregate liability arising out of or in connection with any Order, Product, Service, or these Terms — whether in contract, tort (including negligence), statute, or otherwise — shall not exceed the amount actually paid by you to SPS for the specific Product or Service that gave rise to the claim.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under Lebanese law, including liability for death or personal injury caused by our proven gross negligence or wilful misconduct.
You agree that these limits are reasonable given the price of the Products and Services relative to the potential losses, which you are able to insure against.
Third-party brands & trademarks
TEXE, Context, and all other brand names, logos, product names, and trademarks shown on the Website or in our materials are the property of their respective owners. Their use on our Website is for identification and reference only and does not imply that those owners endorse, sponsor, or are affiliated with SPS.
All Products are subject to the manufacturer's own terms, manuals, usage conditions, and licences, which you must follow. SPS is not liable for manufacturer defects, recalls, discontinuation, firmware or software faults, end-of-life, or compatibility issues beyond what we expressly confirm to you in writing.
Software, firmware & connected services
Some Products include or rely on third-party software, firmware, mobile apps, or cloud services governed by the manufacturer's own licence and privacy terms. SPS does not control these services and is not liable for their availability, outages, feature or subscription changes, discontinuation, or the way the relevant provider handles your data. Continued access to such services may require a separate subscription paid to the provider.
Returns, cancellations & refunds
Special-order, imported, configured, programmed, or installed Products are non-returnable and non-refundable. Deposits taken for special or imported orders are non-refundable.
Unopened, undamaged, and resaleable standard-stock Products may be returned within seven (7) days of delivery, subject to our inspection and a restocking fee of up to 20% of the Product price. You are responsible for return shipping and for any loss or damage in transit. Products damaged by you, or returned incomplete, will not be accepted.
Any statutory cancellation or refund rights that apply to you and cannot be excluded by law are unaffected by this section.
Website content & intellectual property
All content on this Website — including text, graphics, layout, design, the SPS name and logo, and other materials — is owned by SPS or its licensors and is protected by intellectual-property laws. You may not copy, reproduce, republish, distribute, or otherwise use any of it for commercial purposes without our prior written permission. Third-party trademarks remain the property of their owners.
Acceptable use of the website
You agree not to use the Website unlawfully; not to attempt to gain unauthorised access to it or its systems; and not to introduce malware, scrape, overload, disrupt, or interfere with it. The Website is provided on an "as is" and "as available" basis. We do not warrant that it will be uninterrupted, secure, or error-free, and we may suspend, withdraw, or change it at any time without notice.
Privacy
How we handle the personal information you give us — for example through our contact form — is explained in our Privacy Policy. By using the Website and contacting us, you agree to that policy.
Indemnity
You agree to indemnify and hold SPS harmless against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of any Product or Service, your failure to maintain or operate a system properly, or your breach of any law or third-party right.
Force majeure
SPS is not liable for any failure or delay in performing its obligations caused by events beyond its reasonable control, including war, civil unrest, terrorism, government action, currency collapse, banking or import restrictions, customs delays, shortages of supply, power, fuel, or telecommunications outages, strikes, epidemics or pandemics, fire, flood, earthquake, or other natural disaster.
Governing law & jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them, their subject matter, or formation, are governed by and construed in accordance with the laws of Lebanon. The competent courts of Beirut, Lebanon have exclusive jurisdiction.
Changes to these terms
We may update these Terms at any time. The version published on this page, with its "last updated" date, is the one that applies. Your continued use of the Website or placing of an Order after a change means you accept the updated Terms. Please review this page from time to time.
General
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full effect. Our failure to enforce any right is not a waiver of it. You may not assign or transfer your rights or obligations without our written consent; we may assign ours. These Terms, together with your quotation and Order confirmation, form the entire agreement between you and SPS regarding their subject matter and supersede any prior discussions.
